I. Position Title: General Counsel

II. Position Summary: The General Counsel has overall responsibility for the provision of legal services to ADMHN’s Board of Directors, management, and staff. The General Counsel
independently performs legal research, reviews and drafts legal documents, prepares formal and informal opinions, and reviews all contracts. The General Counsel will coordinate legal work with any outside counsel as may be required due to a need for specific expertise, bar admission requirements, or to meet project deadlines.

Duties:IV. Responsibilities:

A. Provides legal advice to the Board of Directors and staff on all aspects of the organization's
activities, including: benefit issues, procedural issues arising from benefit plan
administration, investment issues; fiduciary responsibilities; employment law issues; etc.
B. Drafts, reviews and advises the Board of Directors and staff regarding the terms of all contracts and agreements for services, for property management including leases, for all vendors, for information technology services and equipment, and for lobbyists.
C. Acts as ADMHN’s Chief Corporate Compliance Officer and is staff lead for the Board of
Director's Corporate Compliance Plan.
D Advises the Board of Directors and Corporate Officers on issues of governance, compliance, risk management and corporate law.
E. Acts as lead staff person in assisting in the management of the ADMHN Foundation and assisting its Board of Directors.
F. Maintains and updates the corporate formalities, records and legal documents for ADMHN.
G. Acts as an advisor in managing and supervising the insurance needs of all the organization, in coordination with the company’s insurance broker.
H. Manages all needed outside legal counsel and acts as ADMHN's primary contact person.
Approves all outside legal counsel invoices and supervises and coordinates their work for
ADMHN.
I. Meets with and advises medical and clinical staff on state and federal laws, ethics and responses to court orders and subpoenas. Advises on court testimony as needed.
J. Assists with legal requirement of real estate acquisitions and leases.
K. Advises the Finance Committee of the Board of Directors in regard to audits or other legal issues.
L. Participates in ADMHN's legislative processes including coordinating issues with the lobbyist, researching and preparing supporting documentation for legislative proposals, and testifying at hearings in support of ADMHN supported legislation.
M. Advises the PIO/Marketing Department regarding legal issues involved in speaking to the press regarding ADMHN and matters affecting it.
N. Completes all required trainings as listed in Relias Learning (both online trainings and face-to-face trainings).
O. Performs other duties as assigned.

Qualifications:III. Qualifications:
A. Education: JD degree from an accredited law school. Colorado State Bar membership.
B. Experience: A minimum of five years’ experience in the practice of healthcare law, business law, or contract law. A minimum of five years’ experience in corporate compliance with national certification preferred. Experience with malpractice and HIPAA required.
C. Knowledge: Federal and Colorado civil law; legal research methods; format and content requirements for legal documents such as contracts, briefs, written opinions, etc.; principles and theories of public administration; and Code of Professional Responsibility.
C. Skills: Competently perform independent research of relevant law; analyze and evaluate the facts and law of a particular legal question; provide sound legal advice; recommend legally sound actions which meet operating objectives; communicate legal findings verbally and in writing; be tactful and diplomatic; exercise independent judgment and discretion. Must have excellent written and verbal communication skills.
